About Our Panelists

Christin Hill, Partner, Morrison Foerster

Christin Hill is a partner in Morrison Foerster’s San Francisco office and a member of the firm's Securities Litigation group. Christin has extensive experience representing clients in securities class actions, derivative actions and other complex civil litigation in both federal and state courts, as well as in government and internal investigations.

With over a decade of experience in private practice, Christin has successfully represented public companies and their boards of directors and officers in securities fraud actions, derivative actions, SEC enforcement actions, internal investigations, and general corporate counseling. She also has experience working with pre-IPO companies in complex civil litigation in both federal and state court, internal investigations, responding to government inquiries, and advising on general compliance matters.

Before joining Morrison & Foerster, Christin served as senior counsel at Uber Technologies, Inc., where she managed complex civil litigation including consumer class actions, intellectual property matters, and government investigations. She was also a lead member of Uber’s global compliance team, through which she created and implemented new compliance policies and training programs and advised company management in responding to government inquiries.

Christin also served as an assistant district attorney in the San Francisco District Attorney’s Office, where she successfully prosecuted three misdemeanor criminal jury trials. Early in her career, she served as a judicial clerk for the Honorable John A. Houston in the U.S. District Court for the Southern District of California.  

Jennifer Jacobson, Head of Financial Lines Technical Claims,  AIG

Jennifer Jacobson is the Head of Financial Lines Technical Claims at AIG where she drives claims technical excellence as a subject matter expert within the financial lines space. Jen is a valued member of her team, focusing on complex claims in the management, professional and transactional liability space, including directors and officers, errors and omissions, mergers & acquisitions, fiduciary liability, and employment practices liability.   

Prior to joining AIG, Jen had over two decades of experience in the insurance industry including as the Head of Professional Lines Claims at AXIS, Senior Vice President and Managing Claims Counsel with CAC Specialty, Senior Claim Counsel within the Financial Institutions group at CNA and a Claims Consultant in the Commercial Directors & Officers group at The Hartford, all in New York, NY. Jen also has significant experience in private practice and as in-house counsel for several companies where she managed litigation and corporate work, as well insurance placement and risk management.    

Jen received her B.A. in Law and Society with a minor in Political Science from American University in Washington, D.C in 2000 and her J.D., cum laude, from New York Law School in 2004. Jen is admitted to practice law in New York, Connecticut, and Tennessee and is a licensed claims adjuster. She splits her time between Summit, NJ and New York, NY with her husband and two children.    

Kim McLaughlin, Head of D&O Product, AIG

Kim is the Directors & Officers Liability Product Head for AIG’s North American Financial Lines portfolio. She is responsible for guiding the strategic direction of the D&O product in partnership with each business unit by identifying trends and mitigating risk, driving policy innovation and developing underwriting strategies.  

Kim joined AIG in 2013, working in the coverage litigation group before moving to the D&O claims department. She subsequently crossed over to underwriting working with and then co-managing the New York Public Management Liability team.  

Before joining AIG, Kim practiced at a New York law firm focusing on professional liability litigation. 

Kim received her B.S. in Psychology, and History and Public Policy, with a minor in Religious Studies from Carnegie Mellon University in Pittsburgh, PA in 2005, and her J.D. from Brooklyn Law School in 2008. Kim is admitted to practice law in New York.   

Greg Varallo, Partner, Bernstein Litowitz Berger & Grossmann LLP

Greg Varallo, a partner and head of BLB&G’s Delaware office, focuses his practice on protecting investor rights through shareholder litigation. He prosecutes cases in Delaware and nationwide, helping the firm’s clients navigate complex derivative and class actions, business-to-business disputes, fiduciary litigation in bankruptcy court, and alternative dispute resolution. He has litigated hundreds of complex business disputes and has earned a reputation as one of the country’s leading corporate governance experts and trial lawyers.

Greg brings a unique and varied background to his practice, which informs his creative approach to problem-solving for clients. Prior to joining BLB&G, Greg spent a distinguished 36-year career with elite corporate defense firm Richards, Layton & Finger, capped by a three-year term as its president, where he represented top U.S. and global corporations on various Delaware business matters. He has also served as a director of both for-profit and not-for-profit companies. Greg’s diverse experience from all sides of a litigation gives him a well-rounded perspective that he brings to bear in his prosecution of shareholder matters.

A frequent speaker and author on a wide range of corporate governance and securities-related issues, Greg was involved in the drafting and passage of the 2018 Delaware Certification of Adoption of Transparency and Sustainability Standards Act and the 2015 Delaware Rapid Arbitration Act. He has been published in The Business Lawyer, The Securities Regulation Law Journal, M&A Lawyer, Corporate Governance Advisor, Insights, and Business Law Today. He is the co-author of several publications, including The Practitioner's Guide to the Delaware Rapid Arbitration Act, Special Committees: Law and Practice, and Fundamentals of Corporate Governance.

Greg is an active member in various respected legal organizations. He is a Founding Trustee and former Vice President and Secretary of the American College of Governance Counsel. He is also a fellow of the American College of Trial Lawyers and the Salzburg Global Seminar, Corporate Governance, and a Senior Fellow of the Litigation Counsel of America. Greg served as a past Chair and Co-Chair on several committees and forums with the American Bar Association and previously served on the Delaware Supreme Court Rules Committee.

Greg serves as the immediate past chair (President) of the Board of Directors for the Ministry of Caring and as a Trustee for the American University of Rome. He received his J.D. from the Temple University School of Law and his B.A. from the University of Pennsylvania.
